Terms of service

These terms are an agreement between Firesio (“we”) and the merchant (“you”) who installs and uses CodeVault: Keys & Codes for a Shopify store.

The agreement

By installing or using the app you accept these terms, and you confirm that you are allowed to do so for the business that owns the store. If you do not accept them, do not install the app, or uninstall it. These terms apply together with our privacy policy and with Shopify’s own terms, which govern your Shopify account, billing and the App Store.

We may update these terms. We will email the shop’s contact address before a material change takes effect, and if you keep using the app after that date you accept the new terms.

What the app does

The app stores the codes you upload, assigns unused codes to paid orders for the product variants you link, delivers them to the buyer by email or through a private link, keeps a delivery log, notifies you about stock and orders that need attention, and, depending on your plan, can hold orders that Shopify flags as risky. It can also keep the stock shown in Shopify in step with the codes left, and offers an order lookup page for your buyers.

We do not sell codes, we do not check that you have the right to sell or distribute them, and we are not a party to your sales. You remain responsible for your products, prices, taxes, refunds, support to your buyers, and the accuracy and legality of the codes you upload. Keep your own copy of your codes. The app depends on Shopify, and we cannot guarantee that an email reaches a buyer’s inbox, because mail providers may filter it.

Fees and billing

The app has three plans, shown on our pricing page. Free costs nothing and includes 10 delivered orders a month. Starter costs $9.00 a month and includes 300 delivered orders; each additional delivered order costs $0.05. Pro costs $29.00 a month and includes 3,000 delivered orders; each additional delivered order costs $0.01. Paid plans have a 7-day free trial.

A delivered order is an order for which at least one code was delivered in the billing period. On the Free plan, deliveries do not stop when you pass the included orders and nothing extra is charged; we email you when you are close to the limit and when you pass it.

Prices are in US dollars and charged monthly by Shopify, together with any taxes Shopify adds, and they appear on your Shopify invoice. You can change plan at any time from the app. Plan changes, proration and refunds follow Shopify’s app billing rules. Uninstalling the app cancels the subscription. We will give notice before changing a price.

Acceptable use

You may use the app only for lawful purposes. You may sell and deliver only codes you have the right to sell and distribute: no stolen, counterfeit or fraudulently obtained codes, and nothing illegal. You must not try to access another shop’s data, probe or overload the service, reverse engineer it or work around its limits, use the delivery emails for unsolicited marketing, or upload malicious content. You must follow Shopify’s terms and policies. We may suspend access for a breach of this section, with notice where practical.

Availability and support

We run the app with reasonable care but give no uptime commitment. The app is provided as available: it may be interrupted for maintenance or by failures of Shopify, our hosting provider or others. Deliveries that fail for a temporary reason are retried automatically, but we cannot guarantee how fast a code is delivered.

Support is by email to support@firesio.com, Monday to Friday. Our target is to reply within one business day. That is a target, not a guarantee.

Liability and warranties

The app is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation, to the extent the law allows.

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill, lost, delayed or misdelivered codes, or chargebacks. Our total liability for any claim relating to the app is limited to the fees you paid us for the app in the twelve months before the event that gave rise to the claim.

Nothing in these terms limits liability that cannot be limited by law.

Termination

You can stop using the app at any time by uninstalling it. We may suspend or end your access if you breach these terms, if you do not pay, or if your use puts the service or others at risk. If we stop offering the app we will give reasonable notice, normally at least 30 days.

When the app is uninstalled, its access credentials are deleted. Shopify then sends us a shop erasure request after 48 hours, and we erase the shop’s data: codes, orders, delivery records, settings and support conversations, keeping only a one-way hash of the shop’s address and the erasure date. We cannot recover erased data, so copy what you need before you uninstall. Clauses that by their nature should survive termination continue to apply.

Governing law

These terms are governed by the law of the jurisdiction where Firesio is established, without regard to its conflict-of-laws rules, and the courts of that jurisdiction have exclusive jurisdiction over disputes, except where mandatory law gives you the right to bring a claim elsewhere. Before starting a claim, please write to us so that we can try to resolve it.
